These Terms of Use (these “Terms”) govern your access to and use of the WeSpeak Contractor website, member
experience, and related tools and services (collectively, the “Services”). The Services are owned and operated
by WeSpeak, Inc. (“WeSpeak”, “WeSpeak Contractor”, “WeSpeak Verify”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services (what you get)
The Services are designed to provide educational and informational materials and tools intended to help homeowners plan and manage home improvement projects and research contractors.
Free content and features
Depending on availability, free users may access:
- Public pages, guides, and other informational content we make available from time to time.
- Limited access to WeSpeak Verify, which may include daily limits on detailed analyses.
Member content and features
Depending on the plan you purchase, members may access:
- The WeSpeak System course, including lessons, videos, worksheets, and templates.
- Project Manager tools to create and manage home improvement projects, including tasks, files, photos, and worksheets.
- Contractor Directory features to save and manage contractors.
- Expanded access to WeSpeak Verify, which may include additional searches and detailed analyses.
- Support features, including AI-assisted support chat, where available.
We may modify, suspend, or discontinue any part of the Services at any time, and features, limits, and availability may change over time and may differ for free users versus members and by plan.
2. Educational and informational only (no advice)
The Services provide educational and informational content only. We are not a contractor, construction manager, architect, engineer, insurance broker, attorney, financial advisor, or other licensed professional. Your use of the Services does not create a professional-client relationship of any kind.
No reliance
Any content we provide, whether free or included with a paid plan, including course lessons, videos, worksheets, templates, checklists, copy, examples, AI-assisted outputs, and support materials, is general in nature. You should not rely on any content as a substitute for independent investigation, inspections, due diligence, or professional advice.
Your responsibility
You are solely responsible for your project decisions and outcomes, including budgeting, scope, safety, code compliance, permits, scheduling, selection of contractors, contract negotiation, and project oversight. You are also responsible for complying with all applicable laws, regulations, and requirements that apply to your project and your use of the Services.
Assumption of risk
Home improvement projects involve inherent risks, including property damage, personal injury, financial loss, delays, and disputes. You assume all risks arising from your project and your reliance on information obtained through the Services.
3. WeSpeak Verify (search tool, detailed analysis, and limitations)
WeSpeak Verify helps you research contractors by surfacing information, review patterns, and licensing data where available. WeSpeak Verify may incorporate automated and AI-assisted analysis. Outputs may be incomplete, outdated, inaccurate, or misleading.
Public sources, third-party sources, and no accuracy guarantee
Information shown in WeSpeak Verify is collected, aggregated, or derived from publicly available sources and third-party sources, and from official records where available. Underlying sources can change, be incomplete, be unavailable, or contain errors. As a result, accuracy, completeness, and timeliness are not guaranteed.
We do not represent or warrant that WeSpeak Verify will identify all risks, red flags, complaints, violations, licensing issues, or other concerns related to any contractor.
Not a background check, not verification, not insurance
WeSpeak Verify is not a background check, does not verify identity, and does not guarantee that any contractor is properly licensed, insured, bonded, qualified, available, or suitable for your project.
WeSpeak Verify Search Tool (“Find a Contractor”)
The WeSpeak Verify search tool helps you find contractor listings based on your inputs (for example, trade and location). Search results may be limited by source coverage and may not include every contractor in your area.
No endorsement, no recommendation
Search and listing results are provided for convenience and do not constitute our recommendation, endorsement, certification, warranty, or guarantee of any contractor.
UI disclaimer language (included here for clarity):
- Results are pulled from Yelp and reflect Yelp’s top listings for your search (up to 20). This is not a WeSpeak recommendation or endorsement. Results may not include every contractor in your area.
- This section summarizes publicly available information and review patterns. “Strengths” and “Concerns” are capped examples and are not meant to be equal in weight or severity.
WeSpeak Verify Detailed Analysis (“Analyze a Contractor”)
WeSpeak Verify may provide a detailed analysis based on publicly available reviews, patterns, and available licensing data (for example, CSLB in California). Analyses may include summaries, scoring, pros and cons, and links to sources. These outputs are informational only and may be incomplete or incorrect.
You must verify independently
You are solely responsible for independently verifying any contractor information, including identity, licensing status, insurance coverage, bonding, complaint history, litigation history, references, scope and pricing, and suitability for your project. You should verify information directly with official sources and the contractor, and you should obtain and review written contracts and required disclosures.
We focus on publicly available data and official records. Always confirm project scope, insurance, and references directly with the contractor before hiring.
No duty to update or correct
We have no obligation to monitor, update, correct, or maintain any WeSpeak Verify output. We may, at our discretion, investigate reports of inaccuracies, but we do not guarantee that any correction, update, or refresh will occur.
We are not a party to contractor agreements
We do not provide contracting services, we do not supervise job sites, and we are not a party to any agreement between you and a contractor. Any work performed is solely between you and the contractor, and any disputes must be resolved directly with the contractor.
Release (to the maximum extent permitted by law)
To the maximum extent permitted by law, you release WeSpeak from any and all claims, demands, and damages of every kind, known or unknown, arising out of or related to your selection of, interaction with, or engagement of any contractor or third party, or any dispute between you and any contractor or third party.
4. Accounts and eligibility
You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
5. Plans, billing, and cancellations
Some Services require payment. Prices, billing terms, and plan features are shown at checkout and in your account, and are incorporated into these Terms by reference.
If you purchase a recurring subscription plan, your plan may renew automatically until you cancel, as described at checkout. Cancellation affects future renewals and does not retroactively refund past charges, unless required by law or stated at checkout.
Refunds, if any, will be described at checkout or required by applicable law. We may change pricing and plan features prospectively.
6. Your content and uploads
The Services may allow you to upload content (for example, project photos and files). You retain ownership of your content. You grant us a limited license to host, store, process, reproduce, and display your content solely to operate, maintain, and provide the Services.
You are solely responsible for your content and for maintaining your own backups. We do not guarantee that your content will be stored without loss or that it will be retrievable at any time.
Storage, file types, and other usage limits may apply based on your plan and may change over time.
You represent and warrant that you have the rights to upload your content and that it does not violate law or third-party rights.
7. Acceptable use
You agree not to:
- Use the Services for unlawful, harmful, or deceptive purposes.
- Interfere with or disrupt the Services, or attempt to bypass access controls or usage limits.
- Scrape, harvest, or collect data from the Services at scale without our written permission.
- Reverse engineer, decompile, or attempt to extract source code, models, prompts, or system logic from the Services, except where prohibited by law.
- Upload malicious code, or content that infringes intellectual property or privacy rights.
8. Intellectual property
The Services and all content provided by WeSpeak, including course materials, worksheets, templates, text, graphics, logos, and software, are owned by WeSpeak or its licensors and are protected by intellectual property laws. Subject to these Terms, WeSpeak grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
9. Third-party services and content
The Services may display, reference, or rely on third-party content, data sources, and services (for example, review platforms and public licensing sources). We do not control and are not responsible for third-party services or content, including their accuracy, availability, or practices.
10. Beta and AI features
Some features may be labeled beta or may include AI-assisted outputs. These features are provided on an “as is” and “as available” basis and may change, be removed, or produce errors. You should not rely on AI outputs as a substitute for independent verification or professional advice.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed our Privacy Policy.
12. Disclaimer of warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESPEAK DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WESPEAK DOES NOT WARRANT THAT THE SERVICES (INCLUDING ANY OUTPUTS) WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR UNINTERRUPTED, OR THAT ANY OUTCOME WILL BE ACHIEVED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESPEAK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF WESPEAK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESPEAK’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO WESPEAK FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
WITHOUT LIMITING THE FOREGOING, WESPEAK WILL NOT BE LIABLE FOR ANY ACTS, OMISSIONS, PRODUCTS, OR SERVICES OF ANY CONTRACTOR OR THIRD PARTY, OR FOR ANY DISPUTE BETWEEN YOU AND A CONTRACTOR.
14. Indemnification
You agree to defend, indemnify, and hold harmless WeSpeak and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your content, or (c) your violation of these Terms.
15. Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or if necessary to protect the Services, users, or third parties. You may stop using the Services at any time.
16. Time limit to bring claims
To the maximum extent permitted by law, any claim arising out of or related to the Services must be brought within one (1) year after the events giving rise to the claim occurred; otherwise, the claim is permanently barred.
17. Governing law and venue
These Terms are governed by the laws of California, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction and venue in those courts.
18. Miscellaneous
These Terms are the entire agreement between you and WeSpeak regarding the Services and supersede any prior or contemporaneous agreements on that subject.
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, sale of assets, or by operation of law.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
19. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
